I would say that this does require a reformat, but only after resetting the password and noting system settings, policies, backing up user files, etc. Since it was stated that the AV software was horribly out of date, there is no telling what may be running on the system. If the AV software is out of date, then chances are also high that the system is not up to date on patches. Also, I'm going on the assumption that if the person who used to look after the server left without leaving passwords, etc. that they may not have left under the best of circumstances. But then again, maybe I'm just being paranoid...
